General Terms and Conditions of DKL GmbH (As of January 2026)

1. Scope and Provider

These General Terms and Conditions apply to all orders placed by you in the online shop of DKL GmbH, An der Ziegelei 4, 37124 Rosdorf, Germany (neuepolster.de). The range of goods in our online shop is directed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), commercial traders, and freelancers (e.g., dentists). Sales to consumers within the meaning of § 13 BGB are not conducted. There is no right of withdrawal (right of cancellation), as sales are made exclusively to the aforementioned group of customers and no consumer goods purchase is involved. Our deliveries, services, and offers are made exclusively on the basis of these General Terms and Conditions. For companies, these General Terms and Conditions shall also apply to all future business relations, even if they are not expressly agreed upon again. Any inclusion of a customer's terms and conditions that contradict our own is hereby rejected. The contract language is exclusively German.

2. Conclusion of Contract

The presentation of products in the online shop does not constitute a binding offer. By clicking the "Order now with obligation to pay" button, you submit a binding offer to purchase. A contract is only concluded once we expressly declare acceptance (order confirmation) or dispatch the goods to you.

3. Prices and Shipping Costs

Prices are "ex works" (EXW) plus the applicable statutory value-added tax. Postage and packaging are charged at cost price.

4. Retention of Title

The delivered goods remain our property until full payment of the purchase price has been made. The customer is obliged to notify us immediately of any third-party access to the reserved goods (e.g., seizures).

5. Payment Terms and Default

Payment can be made by advance payment, PayPal, or on account. Unless otherwise agreed, the purchase price is due for payment within 21 days of the invoice date. In the event of default in payment, we are entitled to demand default interest at the statutory rate for payment claims between entrepreneurs.

6. Warranty and Defects

The warranty period for defects is six months from the delivery of the goods. Defects must be reported to us in writing without delay. In the case of justified defects, supplementary performance shall be provided at our discretion by repair or replacement. Note: The warranty does not cover damage caused by normal wear and tear, overloading, or lack of care. With certain upholstery colors (especially light colors), staining of the leather may occur due to bleeding clothing (e.g., jeans); this does not constitute a material defect. We recommend using our care set.

7. Limitation of Liability

We are liable without limitation for intent and gross negligence as well as for injury to life, body, or health. In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the typical, foreseeable damage under the contract.


8. Transport Damage

If goods are delivered with obvious transport damage, please report such errors to the carrier immediately and contact us as soon as possible. This helps us to assert claims against the transport company.

9. Place of Performance and Jurisdiction

The place of performance for all deliveries and payments is the registered office of the company in Rosdorf. The sole place of jurisdiction for all disputes arising from the contractual relationship is Göttingen, Germany, provided that the customer is a merchant, a legal entity under public law, or a freelancer.
